INFORMATION PURSUANT TO THE WHISTLEBLOWER PROTECTION ACT

INTERNAL WHISTLEBLOWING SYSTEM
- We have established an internal whistleblowing system as required by Act No. 171/2023 Coll., on the Protection of Whistleblowers (hereinafter the “Act”). We welcome reports made through this system regarding any suspected unlawful conduct related to our company’s activities or arising in our workplaces.
- Reports should only be submitted if you have reasonable grounds to believe that the information you provide is true. You will be entitled to protection against retaliatory measures to the extent provided by the Act. Conversely, knowingly submitting false reports may be subject to sanctions (and will not be protected under the Act).
- A report must include information about possible unlawful conduct that has the characteristics of a criminal offense, has the characteristics of a misdemeanour for which the law establishes a fine with an upper limit of at least CZK 100,000, violates the Act or any other applicable legislation or European Union regulation in the following areas:
- financial services, mandatory audits, and other assurance services, financial products and financial markets,
- corporate income taxation,
- prevention of money laundering and terrorist financing,
- consumer protection,
- compliance with product requirements, including product safety,
- transport, carriage and road traffic safety,
- environmental protection,
- food and feed safety and animal health and welfare,
- radiation protection and nuclear safety,
- competition, public auctions, and public procurement,
- public order and safety, life and health protection,
- protection of personal data, privacy, and the security of electronic communication networks and information systems,
- protection of the financial interests of the European Union, or
- functioning of the internal market, including competition protection and state aid under European Union law.
- We will address your report if you are:
- an employee,
- a volunteer, or
- an intern or trainee, or have previously held one of these positions, or have applied for such a position in the past.
- We will also address your report if you are:
- a self-employed person under a contractual relationship with our company,
- a person holding an ownership interest in our company,
- a member of one of our company’s governing bodies (e.g. managing director),
- a person acting in the interest of, on behalf, or on account of our company,
- a trustee managing our trust fund, or
- a person under a contractual relationship with our company (supplier of goods, services, construction works, etc.) or who has previously held such a position, or applied for such a contract.
- Anonymous reports will not be investigated. However, your identity as a whistleblower, if it becomes known, must be protected by the designated person and by our company.
- The internal whistleblowing system is not intended for submissions other than reports pursuant to the Act.

DESIGNATED PERSON/PERSONS
- Reports will be handled by an impartial person appointed for this purpose - the so-called designated person. The designated person will assess the legality and merit of your report. If the report is justified, they will propose how the situation should be addressed.
- The following employees have been appointed as designated persons for receiving and assessing the validity of reports:

- If more than one designated person is appointed, they will decide whether one of them will handle the report or whether it will be addressed jointly.
- Designated persons are bound by confidentiality and must not disclose your identity unless you explicitly consent. They must also not disclose any information that could undermine the purpose of the reporting (particularly the prevention of unlawful conduct).

METHODS OF INTERNAL REPORTING
Our internal whistleblowing system allows reports to be submitted in writing, orally, or during a personal meeting with the designated person.
- In Writing
3.1.1 Reports can be submitted in writing using:

3.1.1 For oral reporting, use the telephone number above.
3.2.2 Oral reporting may involve an audio recording. If you do not consent, inform the designated person at the start of the call, submit the report in writing, or request a personal meeting.
- In Person
3.3.1 A personal meeting may be requested via the email address listed above.
3.3.2 The designated person will propose a meeting date within 14 days of the request.
3.3.3 Meetings may take place at the company’s premises.

EXTERNAL REPORTING
- You may also submit a report to the Ministry of Justice through an external reporting system or to a competent public authority authorized to conduct proceedings under applicable law.
